Terms of Service

These Terms of Service ("Terms") constitute a legally binding agreement between you and BuyBid.io ("Company," "we," "our," or "us") governing your access to and use of the BuyBid.io platform, including all related services, features, and tools (collectively, the "Platform"). By creating an account, placing a bid, listing a vehicle, or otherwise using the Platform, you acknowledge that you have read, understood, and agree to be bound by these Terms.

1. Eligibility & Account Registration

The Platform is designed exclusively for licensed motor vehicle dealers, authorized wholesale buyers, and individuals or entities engaged in the commercial acquisition or disposition of recreational vehicles (RVs), marine vessels, powersports equipment, heavy equipment, and automobiles.

• You must be at least 18 years of age and have the legal authority to enter into binding contracts.
• All accounts are subject to administrative review and approval prior to granting access. We reserve the right to deny any registration for any reason.
• You represent and warrant that all information provided during registration is truthful, accurate, and complete.
• Dealer accounts may be required to provide a valid dealer license number, business address, and tax identification upon request.

2. Account Responsibilities & Security

• You are solely responsible for maintaining the confidentiality of your login credentials.
• All activity that occurs under your account, including bids, listings, and communications, is your responsibility.
• You must notify us immediately through the platform if you suspect unauthorized access to your account.
• Accounts are subject to lockout after five (5) consecutive failed login attempts (fifteen minutes for standard accounts, fifteen minutes for admin accounts) for security purposes.
• We reserve the right to suspend or terminate any account that we reasonably believe is compromised.

3. Listings & Seller Obligations

By listing a vehicle or unit on the Platform, you represent and warrant the following:

• You have legal authority and clear title (or authorization from the title holder) to sell the listed unit.
• All listing information, including but not limited to year, make, model, VIN, mileage, condition, damage disclosures, and photographs, is accurate, truthful, and not misleading.
• You will promptly update or correct any listing information that becomes inaccurate.
• Photographs must accurately depict the current condition of the unit. Stock photos, digitally altered images, or images from other vehicles are prohibited.
• You acknowledge that once a listing receives a qualifying bid that meets or exceeds any applicable reserve price, you are obligated to complete the sale to the winning bidder.
• Listings that are created via bulk upload, HappyFox integration, or the customer self-inspection process are subject to the same accuracy obligations.

4. Customer Self-Inspection Listings

The Platform offers a customer self-inspection process whereby vehicle owners may submit vehicle information, condition assessments, and photographs through a guided questionnaire. The following terms apply specifically to listings created through this process:

• All condition information, descriptions, and photographs in a self-inspection listing are provided directly by the vehicle owner and have not been independently verified by BuyBid.io.
• By completing the self-inspection and submitting the form, the vehicle owner acknowledges and agrees to accept the offer amount displayed during the inspection process in the event that BuyBid.io identifies a suitable buyer.
• The offer amount is calculated based on current market valuation data and is presented at the time of inspection. The offer amount constitutes the vehicle owner's agreed sale price and is binding upon submission of the self-inspection form.
• Self-inspection listings will include a disclosure notifying buyers that the condition assessment was customer-provided and has not been independently verified. Buyers are responsible for conducting their own due diligence.
• Vehicle owners represent and warrant that all information and photographs submitted during the self-inspection are truthful and accurately depict the condition of the vehicle. Intentional misrepresentation may result in transaction reversal and legal liability.
• BuyBid.io reserves the right to disable or modify the self-inspection feature at any time without prior notice.

Customer-Held Units & Pickup Coordination

Vehicles listed through the self-inspection process are held by the vehicle owner and are not located on a dealer lot at the time of listing. The following terms govern the pickup and inspection process for these units:

• Pickup coordination: Upon the close of a successful auction or Buy It Now purchase, BuyBid.io will coordinate with the vehicle owner to arrange delivery of the unit to the designated dealer location. The buyer will be notified once the unit has arrived on-lot.
• 72-hour inspection window: The winning buyer will have seventy-two (72) hours from the time the unit arrives on-lot to physically inspect the vehicle and verify that its condition materially matches the description and photographs provided in the self-inspection report.
• Binding commitment: By placing a bid or completing a Buy It Now purchase on a self-inspection listing, the buyer enters into a binding commitment to purchase the vehicle, contingent on the vehicle's condition materially matching the self-inspection report. This is not a no-obligation preview; the buyer is committing to the purchase subject only to the inspection contingency.
• Material discrepancy: If, during the 72-hour inspection window, the buyer identifies a material discrepancy between the vehicle's actual condition and the self-inspection report, the buyer must notify BuyBid.io in writing through the platform before the inspection window expires. BuyBid.io will review the claim and may, at its sole discretion, authorize a transaction reversal or negotiate a price adjustment.
• Acceptance upon expiration: If the buyer does not notify BuyBid.io of a material discrepancy within the 72-hour inspection window, the vehicle is deemed accepted as-is, and the purchase obligation becomes unconditional.
• Normal wear and minor variances: Minor cosmetic differences, normal wear and tear, or immaterial variances between the self-inspection report and the actual vehicle condition do not constitute grounds for rejection or transaction reversal.

5. Bidding & Binding Obligations

• Binding nature: Each bid you place constitutes a binding offer to purchase the listed unit at the specified price. You may not withdraw a bid except as provided in Section 13 (Bid Retraction).
• Bid increments: The Platform enforces tiered minimum bid increments to ensure meaningful bidding:
  • Units under $10,000: minimum $100 increment
  • Units $10,000 to $49,999: minimum $250 increment
  • Units $50,000 and above: minimum $500 increment
• Winning bidder obligations: If you are the highest bidder when the auction closes and the reserve price (if any) has been met, you are contractually obligated to complete the purchase at your winning bid price, plus any applicable buyer fees.
• Failure to complete purchase: Winning bidders who fail to complete a purchase may be subject to account suspension, permanent ban, forfeiture of any deposits, and legal action for damages.
• Multiple bids: You may place multiple bids on the same listing. Each subsequent bid must meet the minimum increment above the current high bid.

6. Auto-Bid (Proxy Bidding)

The Platform offers an auto-bid feature that allows you to set a maximum bid amount. The system will automatically place incremental bids on your behalf up to your specified maximum.

• Your maximum bid amount is kept confidential and is not visible to other bidders. Only the current bid amount is displayed.
• Auto-bids are placed at the minimum increment necessary to maintain your position as the highest bidder.
• Setting an auto-bid constitutes a binding commitment to purchase the unit at any price up to and including your maximum bid amount.
• If two auto-bids are in competition, the system processes bids in the order they were received. The earlier auto-bid has priority at the same maximum amount.
• You are responsible for the accuracy of your maximum bid amount. Auto-bids cannot be reduced once placed; however, you may increase your maximum at any time.

7. Buy It Now

Certain listings may include a Buy It Now price set by the seller. The following terms apply:

• Clicking "Buy It Now" and confirming the purchase constitutes an immediate, binding purchase at the listed Buy It Now price.
• Buy It Now purchases are final upon confirmation. There is no cooling-off period.
• Once a Buy It Now purchase is confirmed, the listing is immediately removed from active auction and other pending bids are canceled.
• The buyer is responsible for the Buy It Now price plus any applicable buyer fees.

8. Counteroffers & Negotiations

The Platform facilitates counteroffers between buyers and sellers on active listings.

• Counteroffers are non-binding proposals until accepted by the opposing party.
• Once a counteroffer is accepted, it becomes a binding agreement to complete the transaction at the agreed-upon price.
• Accepted counteroffers immediately close the listing and cancel all other pending bids and offers.
• Both parties are obligated to complete the transaction promptly upon acceptance of a counteroffer.

9. Auction Mechanics & Closing

• Closing time: Each listing has a scheduled closing date and time. The highest bidder at the time of closing wins the auction, subject to any applicable reserve price.
• Anti-snipe protection: If a bid is placed within the final five (5) minutes before the scheduled closing time, the closing time is automatically extended by five (5) minutes from the time of that bid. This extension may occur multiple times to ensure fair bidding opportunities for all participants.
• Reserve not met: If a listing has a reserve price and the highest bid does not meet the reserve at closing, the seller is not obligated to sell. Both parties will be notified that the reserve was not met.
• No bids: Listings that receive no bids by their closing date will expire. Sellers may relist at their discretion.
• Automatic notifications: The Platform automatically notifies the winning bidder, the seller, and all losing bidders via email upon auction close.

10. Fees & Payment

Buyer Fees

• A buyer fee of two hundred dollars ($200.00) is assessed on all winning purchases, including auction wins and Buy It Now purchases.
• The buyer fee is in addition to the winning bid or purchase price.
• Certain buyers may be eligible for a buyer fee waiver at the sole discretion of BuyBid.io administration. Fee waivers, once granted, may be revoked at any time.
• Certain listings may be designated as "fee exempt" by the seller or administrator, in which case no buyer fee applies.

Listing Fees

• Dealer listings: There are no listing fees for dealers. Dealers may list inventory at no cost.
• Customer self-inspection listings: A listing fee of one hundred fifty dollars ($150.00) applies to all vehicles listed through the customer self-inspection process. This fee is deducted from the sale proceeds upon a successful transaction and is not charged upfront to the vehicle owner.
• Platform subscription fees, if applicable, are billed according to the selected plan and billing cycle.

Payment Between Parties

• Payment for purchased units is handled directly between the buyer and seller unless otherwise specified by BuyBid.io.
• BuyBid.io does not hold funds in escrow and is not responsible for the collection or disbursement of transaction payments between users.
• Buyers and sellers are responsible for agreeing upon and executing payment in a timely manner following the close of a transaction.

11. Pickup & Transfer of Ownership

• Winning buyers must arrange pickup of the purchased unit within five (5) business days of the auction close, unless otherwise agreed with the seller.
• Sellers must make the unit available for pickup at the location specified in the listing or as communicated to the buyer.
• Transfer of title and all associated paperwork is the responsibility of the buyer and seller. BuyBid.io does not facilitate title transfers.
• Transportation arrangements and costs are the responsibility of the buyer unless otherwise agreed between the parties.
• Risk of loss passes to the buyer upon physical possession of the unit.

12. Reserve Prices

• Sellers may set a reserve price, which is the minimum amount they are willing to accept. Reserve prices are hidden from bidders.
• If the highest bid at auction close does not meet the reserve price, the seller is not obligated to complete the sale.
• Sellers who set unreasonably high reserve prices that result in repeated no-sale outcomes may have their listing privileges reviewed.

13. Bid Retraction

• Bids may only be retracted within five (5) minutes of placement.
• After the five-minute retraction window, all bids are final and binding.
• Retraction of a bid does not guarantee that you will not be the winning bidder if other bids are also retracted.
• Abuse of the bid retraction feature, including patterns of placing and retracting bids, may result in account suspension.

14. Prohibited Conduct

The following activities are strictly prohibited and may result in immediate account suspension or termination:

• Shill bidding: Placing bids on your own listings or conspiring with others to artificially inflate prices.
• Bid manipulation: Any form of collusion, bid rigging, or market manipulation.
• Fraudulent listings: Submitting false or materially misleading listing information, including inaccurate condition reports, odometer discrepancies, or concealed title issues.
• Off-platform circumvention: Using the Platform to identify potential buyers or sellers and then completing transactions outside the Platform to avoid fees or obligations.
• Account sharing: Allowing unauthorized individuals to access or use your account.
• Unauthorized access: Attempting to access accounts, data, or systems without authorization, including scraping, reverse engineering, or interfering with Platform operations.
• Harassment: Abusive, threatening, or harassing communications directed at other users or Platform administrators.
• Non-completion: Repeatedly failing to complete purchases after winning auctions or having Buy It Now transactions confirmed.

15. Disputes & Resolution

• Disputes between buyers and sellers should first be addressed directly between the parties.
• If a resolution cannot be reached, either party may submit a dispute report to BuyBid.io through the platform.
• BuyBid.io may, at its sole discretion, review disputes and facilitate resolution. However, BuyBid.io is not an arbitrator and its decisions are non-binding recommendations unless otherwise specified.
• Users may flag listings or transactions for review by Platform administrators. Flagged items are reviewed on a case-by-case basis.
• BuyBid.io reserves the right to reverse transactions, issue refunds, or take corrective action when it determines that a material misrepresentation, fraud, or Terms violation has occurred.

16. Intellectual Property

• All Platform content, design, software, algorithms, trademarks, and trade dress are the property of BuyBid.io and are protected by applicable intellectual property laws.
• You retain ownership of content you upload to the Platform, including vehicle photographs, descriptions, and condition reports.
• By uploading content, you grant BuyBid.io a non-exclusive, worldwide, royalty-free license to use, display, reproduce, and distribute such content in connection with the operation of the Platform.
• This license terminates when your content is removed from the Platform, except for content that has been incorporated into completed transactions or archived records.

17. Disclaimer of Warranties

THE PLATFORM IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, WE DISCLAIM ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

We do not warrant that:

• The Platform will be uninterrupted, timely, secure, or error-free.
• The information provided by other users (including vehicle condition, descriptions, and photographs) is accurate, complete, or reliable.
• Any vehicle listed on the Platform is free from defects, liens, or encumbrances.
• Transactions conducted through the Platform will be completed to the satisfaction of all parties.

18. Limitation of Liability

BuyBid.io is a marketplace platform that facilitates connections between sellers and wholesale buyers. We are not a party to transactions conducted between users.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, BUYBID.IO SHALL NOT BE LIABLE FOR:

• The condition, quality, safety, or legality of any vehicle or unit listed on the Platform.
• The truth or accuracy of listings, condition reports, or self-inspection disclosures.
• The ability of sellers to sell or buyers to pay.
• Any damages arising from transactions between users, including but not limited to consequential, incidental, special, exemplary, or punitive damages.
• Any loss of profits, data, business, or goodwill arising from the use of or inability to use the Platform.

IN NO EVENT SHALL OUR TOTAL AGGREGATE LIABILITY EXCEED THE AMOUNT OF FEES PAID BY YOU TO BUYBID.IO IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

19. Indemnification

You agree to indemnify, defend, and hold harmless BuyBid.io, its officers, directors, employees, agents, and affiliates from and against any and all claims, losses, damages, liabilities, and expenses (including reasonable attorneys' fees) arising out of or related to:

• Your use of the Platform or violation of these Terms.
• Your listings, bids, transactions, or other activities on the Platform.
• Any misrepresentation or breach of warranty made by you.
• Any dispute between you and another user of the Platform.

20. Termination & Suspension

• We may suspend or terminate your account at any time, with or without cause, upon notice to the email address associated with your account.
• Grounds for immediate termination without notice include fraud, shill bidding, repeated non-completion, and other material violations of these Terms.
• You may request account closure at any time through the platform.
• Upon termination, all outstanding obligations (including binding bids and completed purchases) survive and must be fulfilled.
• Termination does not relieve you of any payment obligations incurred prior to termination.

21. Modifications to Terms

• We reserve the right to modify these Terms at any time.
• Material changes will be communicated to registered users via email and by updating the "Last updated" date at the top of this document.
• Your continued use of the Platform following any changes constitutes acceptance of the revised Terms.
• If you do not agree with revised Terms, you must discontinue use of the Platform and close your account.

22. Governing Law & Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the State in which BuyBid.io maintains its principal place of business, without regard to conflict of law principles. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the state and federal courts located in said jurisdiction.

23. Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions shall remain in full force and effect. The invalid or unenforceable provision shall be modified to the minimum extent necessary to make it valid and enforceable while preserving its original intent.
